非执行董事包括独立非执行董事和关联非执行董事,二者都拥有区别于执行董事的独特职能。国家监管部门应当进一步强化独立非执行董事制度,同时建立关联非执行董事制度,以丰富董事会的治理机制,完善公司治理。

Non executive directors include the independent non executive directors and the associate non executive directors,and both have the unique function which the executive directors lack.The state regulatory authorities should further strengthen the independent non executive director system and establish a system of the associate non executive directors in order to enrich the governance mechanism of the board of directors and improve the corporate governance.
