摘要
公司自治的表现形式之一为公司章程自治,从公司自治和公司章程自治的关系入手,阐明二者内在联系更具理论价值。意思自治原则作为公司自治的理论基础,必须把握其发展演变。从公司章程的性质入手,确定了公司章程自治的这一内在因素。本文认为,公司章程是公司法人的自治规则,自治规则说弥补了契约说和权力法定说之短处,同时兼有契约说和权力法定说的长处,认为公司章程是公司的自治规则,是公司及其成员的最高行为准则,不仅可以保持章程的意思自治的本质,还可以约束公司董事、高级管理人员等公司高管,又能为建立公司参与人利益的机制提供依据,达到更好保护少数股东和债权人利益的目标。
One of the forms of company autonomy for the company's articles of association rule,from the relationship of company and the company's articles of association autonomy,to clarify the internal relation more theoretical value.Subjective meaning autonomy principle as the theoretical foundation of the company autonomy,must grasp its evolution.From the nature of the company's articles of association,to determine the company's articles of association autonomy that an internal factors.The author thinks that the company's articles of association are a company's legal person autonomous rule,autonomous rules that make up the shortcomings of contracts and legal power,the strength of the contract and the legal power concurrently at the same time,and thinks that the company's articles of association is the autonomous rule of the company,is the highest code of conduct of the company and its members,not only can keep the articles of association of the nature of autonomy,can also be constraints such as company directors,senior management personnel executives,and provide a basis to set up the mechanism of the interests of the company participants,achieve better protect the interests of minority shareholders and creditors.
