公司资本责任制度是公司资本制度的重要组成部分。我国公司法对资本责任制度作了较为具体的规定 ,但由于立法滞后 ,实践中出现了一些违反公司法的行为而公司法及相关法律却无法制裁。通过对我国公司法关于公司资本责任的相关规定的分析 ,尽快采取相应的完善公司资本责任制度的立法措施 ,才能保证公司资本正常运转 ,实现我国经济健康、持续。

Corporation capital responsibility system is an important part of corporation capital system. In China, concrete regulations have been set in the law about capital responsibility system. Owing to backward legislation, in practice illegal activities are not punished according to the law. In the article, analysis of regulations on corporation capital responsibility in China is made and suggestion of its perfection is put forward to help corporation capital function normally and keep our economical development healthy, steady and quick.
