This paper studies the legal issues of intellectual property right holder as the investor in the arbitration between Eli Lilly and Company and the government of Canada. In this case, the right holder challenges the intellectual property implementation of domestic institutions of the host country by utilizing the investorstate arbitration procedure.By referring to the arbitration decision,it points out that under the premise of reasonable non-discrimination,the implementation of intellectual property rights in the host country should not be regarded as expropriation or violation of the principle of fair and equitable treatment. However, the investor-state arbitration procedure can provide space for the right holder to intervene in the host country’s regulatory power. In the process of formulating bilateral and multilateral investment rules, all countries should seek the balance between public interest and intellectual property rights within the framework of international investment arbitration through consistent interpretation, retention of regulatory power of host countries and formulation of the investor’s obligations in public interest.
