摘要
研究了礼来公司诉加拿大仲裁案中所反映的作为投资者的知识产权权利人,通过投资者—东道国仲裁程序,对东道国国内机关的知识产权实施行为进行挑战的法律问题。结合礼来案仲裁裁决,指出在合理无歧视的前提下,东道国国内的知识产权实施行为通常不应视为构成征收或违反公平公正待遇原则,但投资者—东道国仲裁程序仍然为知识产权权利人干预东道国规制权提供了一定空间。各国在双边及多边投资规则制定的过程中,应通过解释一致、东道国规制权保留、为投资者设置有关公益的义务等方式,在国际投资仲裁框架中寻求公共利益与知识产权相平衡的路径构建。
This paper studies the legal issues of intellectual property right holder as the investor in the arbitration between Eli Lilly and Company and the government of Canada.In this case,the right holder challenges the intellectual property implementation of domestic institutions of the host country by utilizing the investorstate arbitration procedure.By referring to the arbitration decision,it points out that under the premise of reasonable non-discrimination,the implementation of intellectual property rights in the host country should not be regarded as expropriation or violation of the principle of fair and equitable treatment.However,the investor-state arbitration procedure can provide space for the right holder to intervene in the host country’s regulatory power.In the process of formulating bilateral and multilateral investment rules,all countries should seek the balance between public interest and intellectual property rights within the framework of international investment arbitration through consistent interpretation,retention of regulatory power of host countries and formulation of the investor’s obligations in public interest.
