“自然选择”:关于“当事人意思自治原则”适用性的一种诠释

Natural Selection":an Annotation on the Applicability of "the Principle of the Autonomy of the Parties

以“自然选择”的进化论,观照“当事人意思自治原则”的适用性问题,“缔约地法”到“意思自治”,是“优胜劣汰、适者生存”自然法则作用的结论。而从“意思自治”到“最密切联系说”、“利益分析说”和“特征履行说”,则是该原则为适应当代国际经济贸易环境变化所作的改良,是一种“生长”的过程。在这个过程中,“意思自治原则”得到进一步修正、补充和完善,这也可以说是合同准据法为适应社会发展的需要、追求自身“合理性”的体现。

Considering the applicability of'the principle of the autonomy of the p arties'with the evolutionism of'Natural Selection',we can draw the conclusion that the d evelopment from the'lex loci contractus'to'the autonomy of the parties'is the outcome of the natural law of'the survival of the fittest'.However the development from'the autonomy of the parties'to the'interest analysis'and'the charateristic performance'is the im-provement of'the principle of the autonomy of the p arties'that is to adapt to the change of the cu rrent international economy and trade environment,and t hus is the process of'growth'.During this course,'the principle of the autonomy of the parties'was further modified,supplemented,and improved.That means it indicates that the law of making contract pursues the'rationality'to adapt to the social development.
