摘要
通过对河南省108家由工厂制改为股份有限责任公司的国有企业的调查显示,很多公司法人治理结构存在严重缺陷,主要表现为:(一)国有股过于集中;(二)董事长、总经理“一肩挑”;(三)董事会操纵股东大会;(四)监事会形同虚设等。这些问题的存在使我省国有企业公司改制后,现代企业制度形同虚设,企业效益显著下降,有的甚至濒临破产。对此,笔者认为,要使国有企业公司制改革取得显著的经济效益,必须构建一个责、权、利相互制衡的公司法人治理结构。
Through the survey on Henan province's108state-owned enterprises,which have been converted to the joint-stock limited liability companies system from the former factory system,it shows that there exist serious problems in many enterpris-es'cooperation improvement construction.The following four points are the principal ones.First:state-owned stocks are over-cen-tralized;second:the enterprises don't clearly define one's responsibilities,for example,only one takes up both the chairman and the executive manager's post;third:the board of directors manipulates the stockholders'congress;fourth:the supervisory committee exists in name only and so forth.The above existed problems also cause modern enterprises system existing in name only,the enterprises efficacy decreased strikingly,and some are even on the verge of bankruptcy after Henan province's state-owned en-terprises incorporation.In dealing with the present conditions,it must establish a company cooperation improvement construction which restrains each other in responsibility,rights and obligations if it expects the restructuring of the state-owned corporatisa-tion to obtain marked economic results.
