摘要
我们通过了解MBO的特点,以及中国企业实施MBO的现状,说明MBO作为先进的产权改革方法值得中国企业学习、借鉴。在引进MBO上,中国企业应切忌叶公好龙,应对MBO有比较深刻的了解和认识。在完善MBO改革问题上,引入独立董事制度,完善公司治理结构,作为MBO的一种补充和制度保证。
Through the analysis of MBO's characteristics and the status of MBO applied to Chinese enterprises, the paper concludes that MBO, as a new method of property right reform, is worthwhile for Chinese enterprises to study and learn. The introduction of MBO should be based on complete knowledge and profound understanding of it. Independent director system, along with rational corporate governance, may serve as the best supplementation to gurantee the MBO's perfection.
