摘要
美国的股票期权制度对美国新经济的发展和繁荣起到重要作用,相继曝光的美国公司会计丑闻,在美国国内引发对股票期权的成本问题和可能诱发经理人新的道德风险问题的广泛争议。我国要借鉴美国股票期权制度正反两方面的经验,建立中国特色的长期激励制度,加快公司治理的步伐。
The stock options system in America plays an important role in the development and thriving of the new economy in the US. The reveal of the sequence of accounting scandals in American companies caused great disputes in the problems of stock option cost and the moral hazard problem in management inside America. China needs to learn form the experience of both the good and bad sides of American stock option system, establish the long-term incentive system of Chinese own characteristics, and speed up the pace of company management.
