The Perplexity of Commercial Law on One-Person Company in South Korea

韩国自 2 0 0 1年 7月 2 4日施行的第 64 88号修改商法允许有限公司和股份公司设立一人公司 ,这是对现存的大量实质意义的一人公司的承认而采取的适当立法措施。但韩国商法尚未全面系统地规划一人公司的设立与运营。该文介绍了一人公司的概念、种类及性质 ,也分析了韩国对一人公司立法态度以及其存在的问题 。

The 6488 th amended commercial law put in force from 7.24 2001 in Korea admit limited company and stock company to set up one-person company, which is proper lawmaking step taken to accept lots of living essential meaning one-person company.But Korea commercial law has no full and system rule for setting up and carrying on of one-person company.This article introduces conception and kind and quality of one-person company,and discusses the lawmaking attitude of Korea to one-person company and existing questions, and give some advice for lawmaking imagination of one-person company.
