独立董事与我国公司治理结构

Independent Director & Corporate Governance in China

独立董事是英美法国家在一元制公司治理模式和高度分散股权结构下的一项制度选择。目前我国引入独立董事制度已进入全面实施阶段,但独立董事制度与我国现有的公司治理结构存在冲突。因此在引入这一制度时,要顾及我国公司治理结构的现状,协调好独立董事与公司监事会的冲突,合理地构建我国的独立董事制度。

Independent director is a system under the centralized leadership corporate governance mode and wider diversion of stock ownership in Anglo\|American countries. Presently the introduction of the system has been in full\|scale execution in China. Therefore, in introducing it, we should consider our corporate governance condition and try to harmonize the conflicts and construct our independent director system reasonably.
