国有大型总分公司式企业集团内部管控的问题及对策——基于省级分公司的问卷调研分析 被引量:2

The Problems and Countermeasures on Internal Management and Control of Enterprise Group as State Owned Parent Company and Subsidiaries -An Analysis Based on the Questionnaire and Investigation of Provincial-level Branch Company

摘要 基于对国有大型总分公司式企业集团省级分公司的问卷调研,本文从权力控制、人员控制、财务控制以及监察与文化控制四方面分析了总公司对分公司的管控现状。研究表明,当前国有大型总分公司式企业集团内部存在着分公司自主权偏低、总公司信息化体系建设不足、分公司经理人员长期激励有所欠缺、人员选聘控制整体水平低下、对违规人员的惩处力度不足、分公司党委欠缺独立性以及总公司对分公司文化建设力度不够等问题,并据此提出了相应的对策建议。最后指出,针对大型分公司所表现出来的强的"法人特性"以及总公司与分公司之间代理问题的存在,随着分公司资产规模、决策自主权的逐步扩大和地区镶嵌程度的逐步提高,有必要从治理的角度重新审视总分公司之间的关系,但这同时又面临"分公司治理的必要性"等诸多理论难题。 Based on the questionnaire and investigation on provincial-level branch company of enterprise group as State owned parent company and subsidiaries (hereafter abbreviated as SOPCS), the article analyzes the management and control status in quo of parent company over its subsidiaries from the aspects of power control, personnel control, financial control, supervision and culture control. The study shows that, in the present enterprise group as SOPCS there still exists, subsidiary's lower autonomous right, parent company 's shortage of informational systematic construction, deficiency in long-term motivation of subsidiary managers, lower level of integral personnel selection and engagement control, insufficient punishment on violating personnel, lack of independence of the subsidiary's party committee and inadequate culture construction of parent company to its subsidiaries, and corresponding countermeasures are put forward. It points out finally that with regard to the strong characteristic of 'legal person' showed by large branch company and the existence of agent problems between PCS, with the enlarging of branch asset scale, decision-making power and the elevating of district inlaying degree, it is necessary to examine again the relation between PCS from the.angle of governance, but many other theoretical difficult problems such as 'necessity of subsidiary governance' are still to be faced with.
