管理层收购是上市公司资产收购的形式之一。文章就我国证券市场管理层的收购作了举例分析 ,指出只有加强立法、加强信息披露的管理 ,实行回避制度等措施才可使管理层收购走上健康发展的道路。

Buyouts of management level are one of the assets-buying forms of public-lifting companies. This paper gives an analysis with examples of the management buying in our country. And it points out that only by strengthening legislation and control of information-disclosing and practising challenge system, can the buyouts of management level be on its way to the sound development.
