公司正义的制度认证与创新

公司正义由微观层面的股份正义、中观层面的治理正义和宏观层面的社会正义同构而成。应该围绕制度创新这一轴心来认证和建构中国的公司正义理念 ,即 :( 1)从微观层面上讲 ,通过对股东有限责任制度的创新认证股份正义 ;( 2 )从中观层面上讲 ,通过对公司法人治理制度的创新认证治理正义 ;( 3 )从宏观层面上讲 ,通过对公司社会责任制度的创新认证社会正义。

The company justice is composed of stocks justice, management justice and social justice. The certification and setting up of Chinese company justice ideal should be centered on the institutional modifications. (1) The stocks justice can be certificated by the modification of the stockholders limited liability institution; (2) the management justice can be certificated by the modification of the company legal person management system; (3) the social justice can be certificated by the company social liability system.
