Supporting Measures for the Incorporation System Reform in China(Shanghai)Pilot Free-Trade Zone

自贸区公司设立制度改革至少需要三个方面的配套措施:自贸区注册资本认缴登记制的改革虽然是公司设立制度的重大改革,但并未涵盖设立制度的全部内容,公司设立制度的自身完善措施须及时跟进;公司设立制度是完整的公司制度体系的有机组成部分,其他监管制度必须及时跟进;公司设立制度改革对不同主体利益的调整机制将带来变化,司法审判机关应当跟进相关措施,确保正确适用相关法律。

The incorporation system reform in free trade zones requires at least 3 areas of supporting measures.Firstly,although the reform of registered capital subscribed registration system in free trade zones is an important reform of the incorporation system,it does not cover the entire contents of incorporation system. Therefore,the supporting measures of the incorporation system should immediately follow up.Secondly,as the incorporation system is a completely organic component of the corporation system,other regulatory systems must follow up in time.Thirdly,as the incorporation system reform will change the adjustment mechanism of subject interests,the judicial organ should take measures to ensure the correct application of law.
