摘要
长期以来,加拿大一直是外国资本的投资目的地国,出于对丧失本国企业控制权的担忧,其1974年颁布的《外国投资审查法》对外国投资采取了严苛的审查标准,要求外国投资能为加拿大带来"显著利益"。然而,这一限制外资的立法措施对加拿大经济产生了诸多的负面影响,最终导致了1985年《加拿大投资法》的出台,该法以"净收益"取代了"显著利益"标准,转而对外资重新采取开放的姿态。因此对于加拿大外国投资国家安全审查核心标准变化的背景、目的等进行深入系统的梳理显然具有重要的意义。
Canada is always foreign investment destination for a long time, considering for losing control in its own industry, and it took severe reviewing standard in the Foreign Investment Review Act(FIRA) in 1974 which ask foreign investment to bring 'significant benefit' to Canada. However the legal measures to limit foreign investment cause many negative reference in the Canadian economic, which result in the enacting of the Investment Canada Act(ICA) in 1985. ICA open to foreign investment again, and replace 'significant benefit' with 'net benefit'. Therefore it's important to analyze deeply and systematically the core standard in Canadian security review of foreign investment.
