法国对一人公司的承认,源于适应经济生活的需要和鼓励中小企业的发展。为保障债权人利益,法国公司法对一人公司的设立、出资、登记、财务监督以及股东权的行使都进行了规制,以弥补单个股东容易过度控制公司的弊端。法国一人公司制度对我国一人公司立法的完善具有借鉴意义。

Due to the need to adapt to economic life and to encourage the development of SMEs France acknowledged the one-man company.In order to protect the interests of creditors,the French Law regulates the establishment,financing,registration and financial supervision,exercise of shareholders right of one-man company to make up for defects that a single shareholder's tendency to over-control the company.To improve the China's one-man company legislation we should learn from the French one-man company system.
