浅谈独立董事制度存在的问题及改善对策

上市公司的独立董事制度是为解决“内部人控制”的问题而产生的,经过几十年的运行,它在完善公司治理结构、保护中小投资者的利益等方面起到了一定的积极作用,但它还存在着某些不足。本文首先说明了独立董事制度的执行现状,其中主要强调了其不尽如人意之处,然后分析了产生问题的原因,进而提出了改善对策,即实行独立董事的委派制。

Independent board system solved the problem that the company is controlled by its own internal management staff.The system has brought some positive results for the company in its operation,but there still exists some prob-lems.The paper,beginning with the present situation of the system,focuses on its problems.After having probed the causes of the problems,some measures are proposed in the paper.
