特殊商业类央企省级全资子公司治理问题探讨

由于特殊商业类央企省级全资子公司存在诸多阻碍公司健康发展的治理问题,考虑到社会的稳定发展和企业的使命,解决子公司的治理问题迫在眉睫。合理的组织治理结构与有效的治理机制是公司治理水平提升的关键。将研究对象聚焦到特殊商业类央企中的电网企业,从国家电网公司省级全资子公司存在的治理问题出发,完善公司治理结构,建立健全的董事会机构及董事会规章、设置监事会机构、建立职业经理人制度,制定与治理结构相适应的治理机制,解决国家电网公司省级子公司治理问题。

Because of the special business class Central enterprises have a lot of facts to hinder the healthy development of the companies. Taking into account the stable development of society and the mission of enterprises, to solve the problem of corporate governance is imminent. The key to improve the company ’s governance level lies in the matching between a reasonable governance structure and effective governance mechanism. The research object will focus on the power grid enterprises in the special commercial enterpris-es. Starting from the governance issues of the State Grid Corporation of province ’s wholly-owned subsidiaries, improve the corporate governance structure, establish a sound board of directors and board of di-rectors rules, set up the board of supervisors institutions, establish the professional managers system, for-mulate the governance mechanism which is compatible with the governance structure, and solve the governance problem of the provincial subsidiary companies of the national grid companies.
