摘要
国有企业公司制改造的关键在于建立规范、有效的法人治理结构 ,高质量的董事会对完善公司法人治理结构起着重要作用。引进西方国家独立董事制度 ,发挥独立董事在我国国有公司中的作用 ,对提高董事会的独立性 ,建立高质量的董事会 ,完善法人治理结构 ,推进国有企业改革有着重要意义。本文重点阐述了独立董事及其相关委员会的涵义。
