摘要
当前国企改革的重点是进行战略调整,实现国有资本逐步退出竞争性行业。本文从国有企业改革目标的多元性出发,认为竞争性国有企业应该对员工进行经济补偿,然后由经营者和员工整体承接国有股权,重构治理结构,以有效推动国企改革,实现国有资本退出竞争性行业的战略目标。
The reform of state- owned enterprises is the focus of the on- going reform of the current economic system. The emphasis of the reform is on a strategic adjustment, wherein state capital gradually exits competitive industries. Recognizing the plurality of the reform′ s objectives, the present paper proposes that managerial personnel and employees in state- owned enterprises in competitive industries should be compensated economically, after which they take over state equity shares altogether. In this way the corporate governance can be built, the reform of state- owned enterprises pushed forward and the strategic goal of letting state capital exit competitive industries achieved.
