摘要
本文对独立董事制度的产生做了介绍 ,分析独立董事制度在公司治理结构中的重要作用 ,剖析了中国目前独立董事制度的现状和存在的问题 ,通过分析国外确保董事制度有效运行的具体措施 。
In this article we introduce the process of independent director system.Then we analyze the important rolev of the independent director system in the company managing structure,the current situation and the problems in Chinese independent director system,and measures used in other countries to ensure the efficient operation of independent director system. We hope we can learn some experience for establishment and consummation of our own independent director system.
