浅析初创阶段的我国独立董事制度

A Study of Chinese Independent Board of Directors in Initial Stage

独立董事制度是英美公司法中独特的制度。为了完善上市公司治理结构 ,保护中小股东利益 ,1999年我国亦引入独立董事制度。本文拟从中日比较研究的视角 ,对正处于初创阶段的我国独立董事制度进行简要分析 ,并就逐步完善我国独立董事制度提出自己的设想。

The system of the independent board of directors is an unique system in the Britan and American corporation law.In order to perfect management structure of the listed companies and protect benefits of the middle-small stockholders,independent board of directors begins to be introduced in China.This article makes a brief analysis on Chinese independent board of directors that is just in initial stage from the angle of comparative study between China and Japan,and puts forward some proposals with regard to gradually perfecting independent board of directors.
