摘要  建立国有企业高层经理人员的激励和约束机制,必须与国有企业目标定位、分类改革相结合,可以考虑逐步实行激励性的年薪报酬制度,谨慎引入股票、期权等长期激励项目,尽快健全国有企业企业家责任制度,有效控制"在职消费"等灰色隐性区域,并积极推进国有企业公司化的改造、国有企业干部人事管理制度的改革、职业经理业绩考核体系的建立和经理市场的规范运作。 The establishment of an incentive and restrictive mechanism for the top managers of the state-owned enterprises must go well with fixing their position and classifying them.To improve the responsibility system for entrepreneurs of the state-owned enterprises as early as possible, controlon-the-job consumption' effectively,be active in converting the enterprises into companies,deepen the reform of the cadre and personnel system,establish the system for examination of the performances of professional managers and standardize the managers market.Such long-term incentive practices as the yearly salary system and the system of entrepreneurs' holding shares can be introduced gradually.
