On Reasons of Enterprises' Merger

企业并购是市场机制作用下 ,企业通过产权交易获得其他企业的产权并企图获得控制权的行为。本文通过对新古典经济学和新制度学派的企业并购理论的归纳分析 ,认为在经济全球化的今天 ,原有并购理论已经不能解释超大型企业的并购行为。企业并购的新发展呼唤新的并购理论 ,提出战略博弈是企业并购理论发展的新思路。

Merger is that enterprise, driven by market, gets other enterprise' property right by dealing property right and figures for its control right. The paper reckons that the old theory of merger already can't explain super big enterprises' behavior in today's situations of economic globalization according to induction and analysis of merger theory of new classical economics and new system school. The new progress of enterprises' merger calls for new theory, thus bringing forth the gamble-chess strategy is developing ideas of enterprises' merger theory.
