摘要
作为泊来品,独立董事制度在我国闹得沸沸扬扬,褒贬不一,本文在对独立董事制度的产生、作用及其种种缺陷进行深入分析后认为,独立董事制度并不适合中国。要规范上市公司的治理结构,必须从股权改革、法制建设等方面入手。
As an imported idea,independent director system has been discussed on a large scale and there is no same opinion on it.This paper has analyzed the systems birth,function and disadvantages and put forward that this system is not suitable for our national situation and we must pay more attention to share reformation and law construction in order to regulate the managing structure of listed companies.
