我国国有公司具有股权高度集中、国有股比重过大 ;特殊的二元制公司治理模式 ;“金字塔”型公司治理结构 ;职工参与公司治理等特点。它不仅是借鉴国外公司治理模式的结果 ,而且更主要是我国现行的政治经济制度以及中国历史传统和文化的反映 ,这是我们构建中国特色的公司治理结构的基本依据。

The characteristics of China's state-owned companies are as follows: high-centred stock right, predominantly state-owned stock, special dual-system model, “Pyramid-like” structure, the entitlement of staff to management. It is not only the result of using the experience of other countries for reference, but the reflect of China's current political and economic system and historical tradition and culture. It is also the basis for constructing management structure with Chinese characteristics.
