Since the late 1980s, following the amendment of corporate laws of the majority US States,the structure of allocation of American enterprises' control rights has experienced radical changes. The fourth corporate merger in American economic history is the direct reason for the change. The theory of stakeholders and allocation of ownership of a firm are its two main theoretical bases.
