从资本市场发展趋势来看,为了尽快完善上市公司法人治理结构,促进上市公司规范运作,与国际规则接轨,在上市公司建立独立董事制度已是大势所趋。借鉴国外有益经验,完善我国独立董事制度需对我国独立董事的能力、独立董事的职权、独立董事的激励约束机制等问题进行探讨。
