On the basis of Coase's theory of transaction cost and Williamson's analysis of the vertical integration on Coase's theory,defining the failure of market and vertical integration,and haveing a mechnism analyses of the vertical integration failure and the mechanism of withdrawal.The description and trace in the article are beneficial to promoting the efficiency of the resource arrangement.
