论重塑中国国有公司治理结构的原则与制度安排

On the Principles for Reconstructing Corporate Governance Structure of China' s SOEs and Institutional Arrangement

通过介绍美、德、日、中四国的公司治理结构的特点,指出中国公司治理结构存在的特有的扭曲,提出了重塑中国国有公司治理结构的“四性原则”:独立性、适应性、制衡性、效率性,遵循以上“四性原则”,相应设计了完善中国国有公司治理结构的制度安排。

This paper demonstrates the unique distortions of the corporate governance structure existing in China' s SOEs by introducing the characteristics of the corporate governance structure in the United States, Germany, Japan and China. It also puts forward four principles for reconstructing the corporate governance structure of China s SOEs, i. e., independence, adaptability, inter - constraint and efficiency. In accordance with four principles, this paper designs the corresponding institutional arrangement to perfect the corporate governance structure of China's SOEs.
