摘要
本文首先分析了当今的知识经济时代企业组织的新特征和公司治理理论面临的挑战。进而阐述了MBO对经理层的激励约束作用,指出MBO是上市公司的一种有效长期激励约束机制。最后说明了当前MBO操作存在的问题和对策。
The paper analyzes the new characteristics of the establishment of enterprises in the era of knowledge economy and the challenges confronting the theory of enterprise management and reform. It expounds the inspiring and binding role of MBO. It points out that MBO is a long - term inspiring and binding mechanism for listed companies. The essay studies the problems on MBO and puts forward counter-measures.
