摘要
上市公司作为证券市场的主体 ,其资产重组的行为与效果直接关系到中国证券市场的规范化发展。本文针对目前证券市场上出现的恶意重组经济行为进行了阐述和总结 ,且分析了恶意重组之所以能够存在的条件及环境。最后提出了防范与制约这类经济行为的对策。
As main body of security market listed companies', capital reorganization and its effect have great significance on normative development of China's security market. According to the vicious reorganization behaviors existing in the security market , clarifications and generalizations have been made to analyze the conditions and environment that they generate in this thesis. Accordingly , countermeasures on such economic behaviour are made eventually.
