企业法人权力能力证明标志的重构

Reconstruction of certification mark of power ability of legal person

现行法律规定的企业法人主体资格证明标志亟须在理论层面上进行重构 ,即在观念上将企业法人的注册登记和营业执照的颁发分别作为企业法人主体权利能力和行为能力的证明。这一重构不仅符合国外法律实践 ,而且符合中国对公权力进行变革的要求。

The certification mark of power ability of legal person provided by current laws requires to be reconstructed theoretically.Namely registration should be regarded as the certification of subject right ability,and the promulgation of business license as certification of practice ability.The reconstruction accords with not only foreign law practice but also the request of reforming the state power in present China.
