金融危机背景下的企业法律风险防范研究

Research on the Prevention of Legal Risk of Enterprises——Based on the Context of Financial Crisis

作为一种商业风险,企业法律风险可以分为企业设立法律风险与企业管理法律风险,在金融危机背景之下,中国企业法律风险的防范应该考虑观念因素与制度因素,从管理视角、商业视角、法律视角三个角度进行:一是要通过重塑企业法律文化以及法律风险培训提高企业法律风险意识,二是要根据实际情况设立与完善专业性法律风险防范机构(法律事务部、法律顾问制度)以及全面性的风险管理机构(风险管理委员会以及风险管理部门),完善企业内部管理体制。

As a business risk, legal risk of enterprise can be divided into legal risk of establishment of enterprise and legal risk of business management. In the context of the financial crisis, the prevention of legal risk of enterprise in China should consider the factors of notion and institutional, as well as the perspectives of management business and law: one the one hand, we should reshape the enterprises’legal culture, as well as adopt legal risk training to enhance the legal risk awareness of enterprise; one the other hand, first, it is necessary to the establish or improve the professional legal risk prevention agencies according to the actual situation (the Ministry of Legal Affairs and the Legal Counsel system), second, it is of vital importance to establish comprehensive risk management institutions (Risk Management Committee and Ministry of Risk Management), with the destination to improve the internal management system.
