论证券电子公开说明书之法律监管——兼论《证券法》相关条款的设计

摘要证券电子公开说明书是对公开说明书在网络空间的延伸,这种延伸不仅包括形式上的延伸,还将引起内容和效力上的变化。本文在详细分析电子公开说明书对监管的挑战内容和各国证券监管机构法律监管应对策略和方式的基础上,对我国证券电子公开说明书的法律监管提出了建议。
