摘要
我国国有企业改革的方向是建立现代企业制度,而构成其主体的公司制度的基础,则是公司产权制。公司产权制度的建立,使得公司所有权与经营权发生了两次分离,并以此为原则形成了公司法人治理结构。完善国有企业产权制度的关键,在于确立法人财产权,完善企业法人制度。
The direction of state-owned enterprises reform is to erect modern enterprises system.The main part of company system is company property right system. Erecting company property system makes company property right and right of management be divided for twice and form the company juridical person administering structure. The key to perfecting state-owned enterprises property right system is to erect juridical person property right and to perfect enterprises juridical person system.
