摘要
本文结合国内立法的现状和证券公司开展网上证券交易的实践,对网上证券交易立法的完善进行了探讨,认为应当尽快健全网上证券交易的立法体系,注重加强对投资者的保护,在具体的立法内容上,应注意对市场准入、电子签名及其认证、证券公司与投资者之间的权利义务、信息披露、法律责任的承担、跨国交易的管辖权和准据法等问题的规制。
The online security trading has already been launched in our country, but domestic relevant laws and financial rules are not very perfect This thesis combining practice that internal legislation and securities broker companies launching the online security trading, has researched on the perfection about legal system of online security trading The author thinks that we should perfect the system of legal system of the online security trading as soon as possible, strengthen the protection of investors, and should pay attention to the market access, electronic signature and its authentication, rights and obligations between security broker company and investor, disclosure of information,transnational jurisdiction and applicable law rule system of issue of trade
