Study on the Generation Mechanism for Independent Directors in China

在讨论公司治理结构与独立董事关系基础上,分析了我国上市公司完善独立董事制度的必要性,对独立董事的条件和产生机制上的缺陷进行了研究,提出成立负责推荐、培训、管理独立董事的独立董事协会的建议,并设计由独立董事协会推荐和使用多目标决策模型选择的独立董事产生程序。

On the basis of describing the relationship between independent directors of listed companies and corporate governance,the necessity of completing the independent directors institutions is discussed,the shortcomings of generation mechanism and conditions for independent directors are analyzed, and a suggestion to found the association of independent directors,which is in charge of recommendation,training and administrating the independent directors,is proposed. Then a new program to generate independent directors is designed,and in the new program the recommendations of the association of independent directors and multiobjectives decision making model are naturally combined.
