市场经济活动离不开市场主体的参与,而公司是现代企业的完备形式。公司自治有其存在的法理基础和客观必然,也是其生存的必备条件。政府加强对市场主体的宏观规制,既是对市场经济下失灵状态的有效管理,也是保证交易安全与快捷的需要,以实现社会的正义。两者相互对立又相互依存,只有宏观规制适度、微观自治有方,共同遵守规则才能达到彼此的协调统一。

Economic activities can not occur without the participation of market subjects. A corporation is the maturity form of a modern enterprise. Corporation autonomy exists with its jurisprudence reasons and subjective necessity. The government exerts macroscopical control on market subjects for the purposes of efficiently controlling the disorders in the market and assuring the safety and speediness of trade, so as to realize the justice of society. Government control and corporation autonomy oppose each other and rely on each other too. It is only when there are appropriate macrospical control and microcosmic autonomy, can there be a balance between the two.
