摘要
在我国即将制定的《证券投资基金法》中,应以保护投资者利益为宗旨,建构我国的证券投资基金法律制度:明确信托契约是基金当事人之间法律关系的基础;确立基金受托人对委托人及受益人的信赖义务;强化基金受益人的受益权功能;优化基金内部治理结构。
The aim of securities investment fund law-making in China should be: to protect investors profit, to make clear that deed of trust is the basis of legal relations among person concerned with funds, to establish the funds trustee's faith duty toward client and beneficiary, to strengthen the function of beneficiary right of the funds' beneficiary, and to maximize internal administrative structure of the funds.
