本文通过对一起有限责任公司非破产清算案的分析 ,揭示了在公司剩余财产分配过程中出现僵局的情况下 ,我国现行公司法的相关法律条款和现行民事诉讼法在非破产清算程序上存在的不足 ,指出了人民法院在受理当事人非破产清算申请时因立法不完善而表现出推诿的态度。作者据此提出了立法和司法建议。

The article analyses a case on non-bankrupt liquidation of a limited liability company, reveals the inadequacies lied in the relative stipulations in our current company act and the deficiencies of non-bankrupt liquidation procedure in our current code of civil procedure when deadlock arises during the distribution of surplus, points out that the People's Court shows the attitude of shifting responsibility to others owing to the imperfections of the legislation before one party's application of non-bankrupt liquidation. The author puts forward some legislative and judicial proposals accordingly.
