摘要
公司治理的核心问题就是以保证股东为主体的利益相关者为前提的一套有关公司治理的权利安排、责任分工以及激励约束的制度安排。文章重新界定了公司治理,分析并比较了三种典型公司治理结构的区别与联系,指出在公司治理中存在一些认识误区,进而对"股东中心型"和"利益相关者模型"两种公司治理模式进行了比较分析与评价,得出"利益相关者模型"是顺应经济发展的,必然会逐渐代替"股东中心型"的治理模式。
The key issue of company managment is to offer a series of mechanism to arrange managing rights,divide the work in responsibility and encourage or restrain,guaranteeing the benefits of the persons who are correlated with the interests of the subject of shareholders.Then the article redefines company managment,analyses and compares the differences and relativities among the three typical company administration structure,and then points out that there are mistaken ideas in the company managment.Furthermore,it comparatively analyses and appraises two company control mode——'Model of related benefactors'and'Model of the centre shareholder'.Finally it concludes that with economic development'Model of related benefactors'will necessarily replace'the Model of the centre shareholder'by and by.
