公司治理的核心是解决内部人控制问题,而内部人控制问题源于公司制本身的产权安排,在现有制度框架内无法解决。CMF是美国经济学家MarkLatham创立的一套新的公司治理制度。与中国的公司治理改革的各种方案相比,它有很多优点,值得借鉴。

The major issue in corporation management is the interior control, which is regarded as a result from the property rights of current corporation system. And the current corporation system in China presents difficulties in solving the above problem. CMF was created by the American economist Mark Latham as a new corporation management system. It has a number of merits which are worth learning by Chinese corporations.
