利害关系人理论与我国公司治理结构的重建

Theory of Party Interested and Reconstruction of the Company Management Structure

因为传统公司治理结构存在着局限性,利害关系人理论对传统公司治理理论提出了挑战。针对我国目前公司管理的现状,必须采取银行参与公司治理和大力推行职工参与制度的措施,以利害关系人理论对我国的公司治理结构进行重构。

The traditional management structure of company has limitation, so the theory of party interested has challenged it. This paper points out that, in view of the present situation of company management in China, we should reconstruct the current company management structure by means of the theory of party interested, namely, banks and staff of the company have right to participate in the management of company.
