本文以进化博弈的复制动态方法为工具解释了公司治理结构演进过程中的"两极化"现象。首先由于制度环境的不同,造成英美和德日企业参与者对公司治理结构的观点的分布的不同,进而造成关于其演进的学习路径的不同,最终形成两种不同的公司治理模式。

In the article we shall explain a phenomenon of corporate governance evolution with the tool of replicator dynamics of evolutionary game theory.At first,the difference of system environment results in their views difference about corporate governance structure of BritishAmerican corporation participants and GermanJapanese corporation participants,and further results in the difference about their evolutionary learning path,and finally shaping two different corporation governance patterns.
