独立董事制度与中国的本土环境

Feasibility study on system of independent director and national environment of China

独立董事制度作为改革董事会的方案之一,在美、英等国十分盛行。中国受到一定影响。但笔者认为,鉴于独立董事制度产生的背景、其固有的缺陷以及中国特殊的社会文化氛围,中国目前不应盲目地引入独立董事制度,尤其反对借用立法的形式强制推行独立董事制度。

In China, people are talking about and even trying to establish the system of independent director system. How-ever, owing to the uncertainty of its effect, its innate shortcomings and its foreign background with China's own characteris-tics, the author of this paper believes that we should not introduce it to our country without a careful study of it. We should first give it a careful analysis before we try to establish the system via making a law.
