日本模式的公司治理机制一直是企业界和经济学界所关心的内容。泡沫经济崩溃以后,日本经济陷入长期萧条,出于内部和外部的压力,日本企业不得不对其治理机制进行改革,董事会改革是其重要组成部分。日本企业董事会改革的措施主要包括董事会规模的缩减、外部董事的启用等。然而日本企业推动的董事会改革具有不彻底性。

The Japanese type of corporate governance mode has always been a concern of the industrialists and economists. The economy of Japan has been beset by long-term stagnation ever since the collapse of the bubble economy. Under the pressure from both inside and outside, the Japanese companies had to bring some changes to their way of corporate governance, of which the reform of board of directors is a component. The reform of board of directors of Japanese companies includes reducing the size of the board and introducing outside directors to the board. However, because the reform has been pushed forward by the management of companies themselves, it is not a thorough one.
