摘要
通过对我国上市公司监事会现状的实证分析,找出我国监事会监督功能弱化的原因,并针对出现的问题,提出了改善我国监事会现状的对策和建议,以期对完善我国公司的法人治理结构有所裨益。
In the research about the corporation governance,enough emphasis on how the function of board of supervisor works have never been given.Based on the analysis about the present position of board of supervisor for China′s listed companies,the reasons that make the function weaken were found and some countermeasures and suggestions to ameliorate the present position of the board of supervisor put forward in order to make the corporation governance more perfect.
