摘要
我国采取的是一元制的公司治理结构形式,董事会下设监事会。但由于信息屏障、资源匮乏、治理权有限以及缺乏监督的动力等原因,使两者都不能发挥其应有的作用。引入独立董事制度可以促进监事会的建设并强化其功能,从而使两者即兼容又能保持各自的特点。
The article mainly discusses the coexistence of the dependent directorate and intendancy. The companies adopt the one-member management in China. The intendancy is set up under the directorate. However, there are many problems: information barrier, resources deficiency, right limitation, shortage of the supervision motivation and etc. All of these will interfere the directorate and the intendancy from working successfully. According to the analysis, this article makes the conclusion that the principle of dependent directorate will improve the development of the intendancy. And it not only makes them compatible but also contributes to their own characteristics.
