中国近代企业制度与公司治理结构——以天津为例

System of Modern China Enterprises and Structure of Company Management—— Case study on Tianjin

随着社会经济结构的近代性嬗变,中国的企业制度也发生了从传统形态向现代形态的转变。在近代中国经济转型大背景下应运而生的企业资本的几种基本组织形式,是近代企业家在借鉴西方先进公司制度的基础上,融入中国特色创办企业的必然选择。公司制是现代企业制度的一种有效组织形式,公司法人治理结构是公司制的核心。近代中国股份有限公司的实践证明,公司法人治理结构经历了一个从简单模仿到逐步完善的过程。建立现代企业制度与公司法人治理结构是市场经济体制下的有效制度安排。

Along with the development of social economic structure in Modern China,the enterprise system underwent a shift from conventional form to Modern form.Several basic forms of organization for corporate capital,emerged in the economic transformation in Modern China,are the inevitable choices made by entrepreneurs,after they set up their own enterprises with Chinese characteristics based on some western advanced enterprise system for reference.Corporate system is an effective form of Modern enterprise system,with corporate governance structure as its core.The practice of Limited Liability Company in Modern China has showed that the promotion of corporate governance structure is a process of gradual perfection from simple duplication.Therefore,setting up Enterprise System and corporate governance structure in Modern China under market economy system is an effective arrangement of system.
